The terms used herein shall, unless the context otherwise states, bear the same meaning as those defined in the previous announcement dated 3 September 2014 in relation to the Proposed Private Placement.

We refer to the announcements dated 3 September 2014 and 5 September 2014 in relation to the Proposed Private Placement.

On behalf of the Board of Directors of Dayang, RHB Investment Bank wishes to announce that Bursa Securities had vide its letter dated 12 September 2014, resolved to approve the listing and quotation of up to 82,499,993 Placement Shares to be issued pursuant to the Proposed Private Placement.

The approval granted by Bursa Securities is subject to the following conditions:-

1. Dayang and RHB Investment Bank must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Private Placement;

2. Dayang and RHB Investment Bank to inform Bursa Securities upon the completion of the Proposed Private Placement;

3. Dayang to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities' approval once the Proposed Private Placement is completed;

4. RHB Investment Bank must submit to Bursa Securities the placee's details in accordance with Paragraph 6.15 of the Listing Requirements as soon as practicable after each tranche of placement and before the listing of the new shares to be issued pursuant to the Proposed Private Placement; and

5. Dayang to make payment of additional listing fee based on the final issue price together with a copy of the details of the computation of the amount of listing fees payable, if applicable.
