We refer to the announcements dated 24 February 2017 and 1 March 2017 in relation to the Private Placement (“Announcements”). Unless otherwise stated, the definitions used herein shall have the same meanings as set out in the Announcements.  

On behalf of the Board of Directors of Dayang, Kenanga Investment Bank Berhad (“Kenanga IB”) is pleased to announce that Bursa Malaysia Securities Berhad ("Bursa Securities") has vide its letter dated 2 March 2017 approved the listing of and quotation for up to 87,709,993 new Shares ("Placement Shares") on the Main Market of Bursa Securities.

The approval by Bursa Securities is subject to the following conditions:-

(i)         Dayang and Kenanga IB must fully comply with the relevant provisions under the Main Market Listing Requirements (“Listing Requirements”) pertaining to the implementation of the Private Placement;

(ii)         Dayang and Kenanga IB to inform Bursa Securities upon the completion of the Private Placement;

(iii)        Dayang to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Private Placement is completed;

(iv)        If relevant, Dayang to furnish Bursa Securities with a certified copy of the resolution passed by shareholders at the forthcoming annual general meeting for the authority to issue shares pursuant to the Companies Act, 2016 before the listing of the Placement Shares;

(v)        Kenanga IB must submit to Bursa Securities the placee's details in accordance with Paragraph 6.15 of the Listing Requirements as soon as practicable after each tranche of placement and before the listing of the Placement Shares; and

(vi)        If applicable, payment of additional listing fee based on final issue price together with a copy of the details of the computation of the amount of listing fees payable.

Dayang is required to ensure full compliance of all the requirements pertaining to the Private Placement as provided under the Listing Requirements at all times.
