Unless otherwise stated, all capitalised terms set out herein shall have the same meanings as those set out in Dayang’s announcements dated 17 May 2019 and 16 July 2019 in relation to the Proposals ("Announcements").

On behalf of the Board, Kenanga IB wishes to announce that Bursa Securities had, vide its letter dated 27 August 2019, resolved to approve the following:-

i.    Listing and quotation of 96,480,983 new ordinary shares to be issued pursuant to the Proposed Rights Issue of Shares; and

ii.   Listing and quotation of up to 96,480,983 new ordinary shares to be issued pursuant to the Proposed Private Placement.

The approval by Bursa Securities for the above is subject to the following conditions:-

i.    Dayang and Kenanga IB must fully comply with the relevant provisions under the Main Market Listing Requirements of Bursa Securities pertaining to the implementation of the Proposed Rights Issue of Shares and the Proposed Private Placement;

ii.   Dayang or Kenanga IB to furnish Bursa Securities with a certified true copy of the resolution passed by shareholders of Dayang in general meeting approving the Proposed Rights Issue of Shares prior to the listing and quotation of the new ordinary shares to be issued pursuant to the Proposed Rights Issue of Shares;

iii.  Dayang and Kenanga IB to inform Bursa Securities upon the completion of the Proposed Rights Issue of Shares and the Proposed Private Placement; and

iv.  Dayang and Kenanga IB to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Rights Issue of Shares and the Proposed Private Placement are completed.
